1. Introduction

Welcome to DigiAds ("Platform"), a product of Digiboard Tech Private Limited ("Company," "we," "us," or "our"), a company incorporated under the laws of India with its registered office at Stirring Minds, 2-A/3, Kundan Mansion, Asaf Ali Rd, New Delhi, Delhi 110002.

By accessing or using the DigiAds platform, including the website at digiads.in, the advertiser dashboard, APIs, and any related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Definitions

• "Account" means the user account created to access DigiAds Services.
• "Advertiser" means any person or entity that uses DigiAds to discover, book, or run advertising campaigns on digital screens.
• "Screen Owner" (or "Network Operator") means any person or entity that lists digital screens on DigiAds for advertising purposes.
• "Content" means any text, images, videos, animations, or other media uploaded, created, or displayed through the Platform.
• "Campaign" means an advertising booking placed through the Platform, including all scheduling and content parameters.

3. Account Registration

To use certain features of DigiAds, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep your Account information updated. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

You must be at least 18 years of age or the legal age of majority in your jurisdiction to create an Account. By creating an Account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Services Description

DigiAds provides a cloud-based Digital Out-of-Home (DOOH) advertising platform that enables:

• Screen Owners to list, manage, and monetize their digital screen inventory;
• Advertisers to discover, book, schedule, and track advertising campaigns on digital screens;
• Both parties to manage billing, payments, analytics, and reporting through an integrated dashboard.

DigiAds acts as a technology platform connecting Screen Owners and Advertisers. We do not own or operate the physical screens listed on the Platform.

5. Acceptable Use

You agree not to use the Services to:

• Upload, distribute, or display Content that is unlawful, defamatory, obscene, harmful, infringing, or otherwise objectionable;
• Violate any applicable local, state, national, or international law or regulation;
• Impersonate any person or entity, or falsely state or misrepresent your affiliation;
• Interfere with or disrupt the Services, servers, or networks connected to the Services;
• Attempt to gain unauthorized access to other user accounts, systems, or networks;
• Upload malicious code, viruses, or any harmful software;
• Engage in any activity that could damage, disable, or impair the Platform.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of Content you upload to DigiAds. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and distribute your Content solely for the purpose of providing and improving the Services.

6.2 Content Moderation

We reserve the right to review, approve, reject, or remove any Content at our sole discretion. Content must comply with all applicable laws, regulations, and our content guidelines. Screen Owners may implement their own additional approval workflows.

6.3 Our Intellectual Property

The Platform, including its design, features, functionality, software, text, logos, and trademarks, is owned by Digiboard Tech Private Limited and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform without our prior written consent.

7. Booking and Payments

7.1 Campaign Bookings

All Campaign bookings are subject to availability and approval by the Screen Owner. DigiAds does not guarantee that a specific screen or time slot will be available. Pricing is set by Screen Owners and displayed on the Platform.

7.2 Payments

Payments are processed through the Platform using prepaid wallet balances or supported payment methods. All amounts are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your use of the Services.

7.3 Refunds

Refund policies may vary depending on the Screen Owner's terms and the nature of the cancellation. DigiAds will facilitate refunds in accordance with the applicable refund policy. Please contact support@digiads.in for refund inquiries.

8. Limitation of Liability

To the maximum extent permitted by law, Digiboard Tech Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services.

Our total aggregate liability for any claims arising from or related to the Services shall not exceed the amount paid by you to DigiAds in the twelve (12) months preceding the claim.

9. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy of audience data, reach estimates, or performance metrics, which are provided as approximate indicators.

10. Indemnification

You agree to indemnify, defend, and hold harmless Digiboard Tech Private Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Services, your Content, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your Account and access to the Services at any time, with or without cause, and with or without notice. You may terminate your Account by contacting us at support@digiads.in. Upon termination, your right to use the Services will cease immediately.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform with a revised "Last updated" date. Continued use of the Services after such changes constitutes your acceptance of the revised Terms.
